1. About ProdBy

ProdBy is an online marketplace that connects music producers ("Producers") with artists and other buyers ("Artists") for the licensing and sale of beats. ProdBy facilitates these transactions but is not itself the seller of the beats listed on the platform, each beat is sold by the Producer who uploaded it, subject to these Terms.

2. Accounts

You must create an account to use most features of ProdBy. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it up to date.

3. Producer accounts and beat listings

Producers may upload beats for sale, subject to review before they become publicly available. ProdBy reserves the right to approve, reject, or remove any beat listing at its discretion, including for reasons of audio quality, copyright concerns, inappropriate content, or incomplete listing information.

Free-tier Producer accounts may have up to 10 beats awaiting review or approved and active at any one time. This limit may change as ProdBy introduces additional account tiers.

By uploading a beat, the Producer confirms they own or have the necessary rights to license the uploaded material, and that it does not infringe the intellectual property rights of any third party.

4. Licenses

ProdBy currently offers Lease licenses, which are non-exclusive: the Producer may sell the same beat to multiple buyers, and retains ownership of the underlying composition. Lease buyers receive the beat files and a license document confirming the terms of use.

Where an Exclusive license is offered and purchased, the beat is removed from further sale on ProdBy once the exclusive purchase is complete.

5. Payments and fees

Payments are processed securely by PayFast. ProdBy does not store or have access to your card details. The price shown to a buyer at checkout is the full amount charged, ProdBy does not add any additional fees at checkout.

ProdBy retains a commission on each sale (currently 12% for free-tier Producer accounts) to cover platform operating costs, including payment processing. The remainder is credited to the Producer's account balance, which may be withdrawn via a payout request, subject to review.

6. Prohibited use

You may not use ProdBy to upload content you do not have rights to, to attempt to circumvent the beat review process, to misrepresent your identity, or to use the platform for any unlawful purpose. ProdBy may suspend or terminate accounts that violate these Terms.

7. Changes to these Terms

ProdBy may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
